1. Agreement and Services
By engaging Sydney Jordan Photography LLC ("Agency", "we") for digital marketing services, you ("Client") agree to these Terms of Service. All services to be provided will be outlined in a formal Statement of Work (SOW) or proposal, which will detail the scope, deliverables, timelines, and objectives.
2. Digital Marketing Service Conditions
The Agency will perform the services outlined in the SOW with professional skill and care. The Client understands that the digital marketing landscape is dynamic and that specific outcomes (e.g., #1 search ranking, specific lead volume) cannot be guaranteed. Our focus is on implementing proven strategies to work towards the agreed-upon business objectives.
3. Timelines
All timelines provided in the SOW are good-faith estimates. The Agency is not liable for delays caused by the Client (e.g., delayed feedback, asset delivery) or by third-party platforms (e.g., search engine algorithm updates). We will communicate any potential delays as soon as they become apparent.
4. Payment Terms
Fees for services will be detailed in the SOW. Payments for recurring retainer services are due in advance of the service period. All payments made to the Agency for services rendered are non-refundable. Failure to make timely payments may result in a temporary suspension of services until the account is brought current.
5. Confidentiality
Both the Agency and the Client agree to treat all non-public information received from the other party as confidential. This includes business strategies, client lists, performance data, and financial information. This obligation of confidentiality extends beyond the termination of the service agreement.
6. Legal Disclaimers & Limitation of Liability
The services are provided "as is". In no event shall Sydney Jordan Photography LLC be liable for any lost profits, or any indirect, consequential, or special damages. The total liability of the Agency for any claim shall not exceed the total fees paid by the Client to the Agency in the three (3) months prior to the claim.
